the diverse needs of business and commercial clients by serving a business in all stages of its life
cycle from start-up, through growth and financing, and finally, sale or other exit strategy. Our goal is
to assist our clients to succeed. We believe the best way to achieve that goal is to form long lasting
partnerships with our clients and to provide a coordinated range of professional business services
specifically tailored to the client's needs. We provide our clients with responsive, creative and cost
effective representation. By devoting ourselves to fulfilling these objectives, we provide a solid
foundation to help our clients accomplish all of their business objectives.
Our role is often that of outside general counsel to our clients, as our skills encompass most
of the services a business will need during its lifetime. As part of our general business practice, we form all types of Georgia business entities. We also prepare and negotiate a broad range of commercial contracts, advise on
corporate governance issues, prepare shareholder agreements, and create stock option and other
executive compensation plans.
Our business lawyers also possess substantial experience with the transactional events in the
life of a company, including mergers, stock and asset acquisitions, business outsourcing, joint
ventures, corporate restructuring, venture capital and other debt and equity financing transactions.
Our lawyers have represented domestic and foreign companies in technology, manufacturing, medical,
insurance, distribution, and other industry sectors.
